Professional firms have professional tax problems

Partnership versus LLP versus limited company. Profit-sharing arrangements. Practising certificates. Indemnity insurance. Client account reconciliations. The tax setup of a solicitor isn't the tax setup of a builder.

An accountant who treats them the same is going to miss things that matter. Things that affect both the firm and every partner personally.

Services We Provide for Professional Services

The services professional firms use most often.

Why a professional services specialist matters

Client account reconciliations. SRA, ICAEW, and RICS regulatory accounting requirements. Partner profit-share allocations. Practising certificates and indemnity insurance treated as a tax-deductible expense. Goodwill on incorporation. The tax cost of a partner buying in or selling out.

These are normal in our work with professional firms and unusual everywhere else. A general accountant figures them out. A specialist already knows them.

Common Questions

  • Should I be a partnership, LLP, or limited company?

Partnerships are simplest but expose partners personally. LLPs protect partners while keeping partnership taxation. Limited companies cap tax but can complicate profit distribution. Above certain profit levels, limited becomes the most tax-efficient. We'll model the options on your numbers.

  • How is profit shared between partners?

However the partnership agreement says. Most common structures are equal shares, capital-weighted, or hours-and-introductions weighted. The split affects tax for every partner. Without an agreement, the law assumes equal shares.

  • What expenses can my practice claim?

Practising certificates, indemnity insurance, professional subscriptions, training, premises, staff, and the usual business expenses. Some practice-specific items (client entertainment, networking) have particular rules we'll walk you through.

  • Can my spouse be a partner?

Yes, with real involvement, real risk, and a documented partnership agreement. There can be tax advantages where the spouse is a lower earner. Artificial spouse partnerships fail under HMRC scrutiny.

  • Do you handle SRA accounts rules?

Yes. Solicitors with client accounts have specific SRA requirements including monthly reconciliations and annual reports. We work alongside your compliance manager and reporting accountant.
